Service Implementation. Intraware shall provide consistent Services on the co-branded site on Netscape's Web Site. All content supplied by Intraware for the Service will meet Netscape's specifications with regard to page size, loading speed and speed of access to database driven content as Netscape may, from time to time, set forth in Attachment C; provided that such obligations shall not be materially more restrictive than the current features, unless the parties otherwise mutually agree. Intraware shall be responsible for the production, technology deployment, content programming, and creation of graphic user interfaces of the Service; all in accordance with Netscape's then-current guidelines. The Service shall use substantially the same technology and advantages that Intraware uses in its own proprietary SubscribNet service(s), if any, unless otherwise mutually agreed by the parties. The Service shall not be disadvantaged or suffer from inferior production, programming or performance relative to Intraware's similar services, or any similar service that Intraware might make available to, or operate on behalf of, third parties. The Service shall perform substantially in accordance with the performance standards of its own proprietary services, including, but not limited to, load time, timeliness of content, and quality of programming. Intraware's obligation to produce the Service, including production services, technology deployment and content programming that meets or exceeds standards established by Intraware on Intraware's Web Site or services (or any web site or services Intraware manages for any third party) and general industry standards is a material obligation of Intraware under this Agreement.
Service Implementation. Verizon will assign a Project Manager to Customer who will schedule a kick off meeting to introduce the Verizon service delivery team, identify the Authorized Contacts for Customer, discuss the scope of the Policy Management service and its business impacts, and obtain any required information from Customer. Upon receipt from Customer of a completed Deployment Kit, Verizon will create a proposed project plan with high-level milestones and timelines. Verizon will only provision Policy Management service after Customer has approved the project plan.
Service Implementation. A. CHILD FIND/SCREENING: The EOP Birth to Five School Readiness Program will screen all children within 45 days of enrollment date. Staff will discuss with the parent or guardian results of screenings that are postive and concerns noted by providers and will give the parent or guardian information on the referral process. The school district only receives screening information upon referral to special education with parental consent.
B. REFERRAL FOR EVALUATION: For preschool age children, the EOP Manager of Education & Child Development Services (▇▇▇ ▇▇▇▇) fills out a special education referral form. The CPSE process and request to evaluate will be sent to the parent from the Elmira Heights School District when the special education referral is received. The Family Advocate will inform the parent that they must register with the Elmira Heights School District to verify residency before the CPSE referral can be processed. In the event that the family needs transportation assistance for the evaluation, the Head Start Family Advocate accompanies the parents to the evaluation site. Elmira Heights School District invites the EOP Manager of Education & Child Development Services and other staff who work with the child and family to the CPSE meeting. CPSE team utilizes evaluations for decision- making and other assessment data with parent consent.
C. COMPREHENSIVE EVALUATION: A designated evaluation team completes the evaluation. Parents and the EOP Birth to Five School Readiness Program staff are encouraged to participate in the evaluation. Social history is conducted by a social worker. The EOP Manager of Education & Child Development Services or the CPSE Chairperson may determine if other assessments or evaluations are needed. Parents may request other evaluations if they see fit. The comprehensive evaluation must be completed within 60 calendar days from the referral.
Service Implementation. 8.3.1 Service Implementation is the period in which the Service is delivered according to the Customer requirements as captured by and agreed with BT. The service delivery period commences with the first communication between the project manager and the Customer and expires upon the commencement of the Operational Service Date.
8.3.2 The Service and Service Levels become fully applicable on the Operational Service Date.
8.3.3 Changes, configurations, refinements, absence or delay of required information or data to deliver the Service or other activities that impact the scope or delivery time of the Service as agreed by the Customer and BT in this Agreement, have the following consequences:
(i) Any additional costs are subject to a time & materials fee depending on items such as additional effort, usage of infrastructure, systems, hardware, software, involvement of third parties and loss of revenue to BT because of postponement of the Operational Service Date caused by change requests of the Customer.
(ii) Agreed delivery times for the service will need to be reassessed and agreed.
8.3.4 Change activities as mentioned in paragraph 8.3.3 above will be dealt with by the delivery team directly. Changes, configuration and install refinements that need to be carried out after the Operational Service Date are dealt with according to the change management procedure.
8.3.5 Following the Operational Service Date, BT will provide the Customer with a Customer Handbook containing contact details of relevant BT personnel and or departments, escalation paths, and other relevant information.
Service Implementation. Based on conversations with the Client, Origami estimates that it will need to provide 1,039 hours of professional services for the implementation deliverables set forth in this SOW (including, without limitation, training and project management hours). If there are any changes to the scope of such deliverables, the parties will agree to meet and negotiate in good faith an amendment to this SOW to resolve any issues and to address any additional requirements. Service Implementation. ViewRay shall be responsible for the service and performance of the service on the COMPONENTS purchased within the scope of this contract. For this purpose, SIEMENS Healthcare (Siemens Healthcare GmbH and/or its Affiliates as further specified in this Annex 3) shall provide ViewRay with reasonably required documentation, information, training and hotline support, etc., and shall supply the spare parts and auxiliary tools until end of support of the COMPONENTS as announced by SIEMENS Healthcare, which announcement of end of support shall be in accordance with the term of the Supply Agreement. This Annex 3 is intended to be basis for individual agreements between ViewRay or its Certified Service Organizations and local SIEMENS Healthcare service organizations. Thus ViewRay or its Certified Service Organizations and the respective local Siemens Affiliate may use this Annex 3 as basis for purchasing of services by ViewRay or its Certified Service Organizations from the respective local Siemens Affiliate. Where necessary, ViewRay or its Certified Service Organizations and the respective Siemens Affiliate may conclude adoption agreements to further specify local requirements. For the avoidance of doubt, any agreement concluded between ViewRay or its Certified Service Organizations and a Siemens Affiliate shall only obligate the respective parties to that agreement and shall not be applicable to any other ViewRay entity or Siemens entity. Service Implementation. A. Subject to the terms and conditions of this Agreement, Xinspire will provide the Service to Customer and its Users during the Term, according to the relevant Service Exhibit, subject to the limitation on the number of Users specified in the relevant Service Exhibit and/or payment of the fee specified in the relevant Service Agreement if Customer exceeds the User limit. Customer may make and distribute to Users a reasonable number of copies of the Documentation for internal use, provided Customer also reproduces on such copies any copyright, trademark or other proprietary markings and notices contained in the Documentation and does not remove any such marks from the original.
B. Customer hereby grants to Xinspire a limited, non-exclusive, worldwide, royalty-free license to use the Customer Data solely in connection with the provision of the Service to Customer. As between Customer and Xinspire, Xinspire acquires no right, title or interest from Customer or Users under this Agreement in or to Customer Data, including any intellectual property rights therein. Xinspire will not review, share, distribute, or reference any of Customer Data except as provided herein or as may be required by law.
C. Xinspire will provide Customer and Customer’s Users access to the Service Interface pursuant to password protected user accounts. Promptly after the Effective Date of each Service Exhibit, Xinspire will send instructions to the Customer-designated administrators (each an “Admin”) regarding the Admin tools made available to Customer together with appropriate Admin credentials. The Admin tools allow the Admin to take a variety of actions, including, for example, the creation of additional Admins, approving or rejecting individuals as Users, and editing or deleting from the Service information submitted by such Users, including Customer Data. All such actions using the Admin tools will be deemed approved by Customer. Xinspire may in its sole discretion modify, enhance or otherwise change the Service without materially decreasing the functionality of the Service.
D. Customer and Xinspire may add additional Covered Programs and/or additional Users by mutual execution of one or more new or revised Service Exhibits and Customer’s payment of the applicable Subscription Fee for such additional Covered Program(s) or Users, as set forth in the new or revised Service Exhibit.
