Operations and Maintenance Services. Within the constraints of the Final Budget and appropriations for such purposes, the CAB Board shall supervise and cause to be performed all Operation and Maintenance Services, regardless of location, including, but not limited to, the following:
(a) Draft proposals, bidding (if required by laws applying to special districts), contracts, and provide contract administration and supervision of service providers;
(b) Supervise and ensure contract compliance by all service providers, including the establishment and maintenance of preventive maintenance programs;
(c) Procure all inventory, parts, tools, equipment, and other supplies necessary to perform the services required;
(d) Retain service providers and professional services, to perform duties, including, but not limited to, the following:
(i) Operations and maintenance, including mosquito, weed, and animal control;
(ii) Cooperation with City, County, State, and federal authorities in providing such tests as are necessary to maintain compliance with appropriate governmental standards; private developments;
(iii) Permitting and supervision of the connection of utility lines to
(iv) Coordinate Construction with various utility companies to ensure minimum interference with CAB maintenance responsibilities and assets owned;
(v) Perform routine maintenance and repairs necessary to continue the efficient operation of assets;

(vii) Provide for emergency preparedness, consisting of a centralized telephone number maintained to provide adequate response to emergencies.
Operations and Maintenance Services. At no additional cost to Buyer, Seller shall (a) operate and maintain the Facility in a safe manner in accordance with its existing applicable interconnection agreements, the Interconnection Agreement as entered into between Buyer and Seller, manufacturer’s guidelines and recommendations, warranty requirements, Good Utility Practice, industry norms (including standards of the National Electrical Code, Institute of Electrical and Electronic Engineers, American National Standards Institute, and the Underwriters Laboratories, and in accordance with the requirements of all applicable federal, state and local laws and the National Electric Safety Code, as such laws and code norms may be amended from time to time; (b) obtain any governmental authorizations and permits required for the construction and operation thereof. The Seller shall make any necessary and commercially reasonable repairs with the intent of optimizing the availability of electricity to the Buyer. The Seller shall reimburse the Buyer for any and all losses, damages, claims, penalties, or liability that the Buyer incurs as a result of the Seller’s failure to obtain or maintain any governmental authorizations and permits required for the construction and operation of the Facility throughout the Term. Seller will use qualified personnel to perform such services in accordance with industry best practices.

Operations and Maintenance Services. (a) Commencing on the Service Commencement Date, Seller will provide, or caused to be provided, operations and maintenance services for the Central Plant (the "Central Plant O&M"), the Other Facilities ("Other Facilities O&M") and, to the extent requested by Buyer upon thirty (30) days prior written notice to Seller, Buyer's Equipment ("Buyer's Equipment O&M") (collectively, the "O&M Services") in accordance with the specifications, and operations and maintenance standards and procedures set forth in Schedule 3.2A. In the event Buyer requests Seller to operate and maintain Buyer's Equipment, the obligation of Seller to provide such operation and maintenance services shall be subject to Buyer and Seller first amending the O&M Budget adopted pursuant to Schedule 4.2 to reflect the Buyer's Equipment O&M Payments due Seller in connection with such operation and maintenance services.
(b) Prior to the Service Commencement Date, Seller will provide, or cause to be provided, certain preoperational operation and maintenance services ("Transition Period O&M Services") in connection with the Central Plant as set forth in Schedule 3.2B.

(3) Permitting and supervision of the connection of lines to private developments;
(4) Coordinate construction with various utility companies to ensure minimum interference with Public Improvements;
(5) Perform routine maintenance and repairs necessary to continue the efficient operation of Public Improvements;
(6) Provide for the services of subcontractors necessary to maintain and continue the efficient operation of Public Improvements; and
(7) Provide for emergency preparedness, consisting of a centralized telephone number maintained to provide adequate response to emergencies.

The Management Company shall provide the Owner with operations and maintenance services reasonably required to operate and maintain the Assets, including the services listed on Schedule 2.2 hereto, but in each case only if, and to the extent, such services are included in the applicable Operating Budget (the “O&M Services”).
Operations and Maintenance Services. Avista or our authorized contractor will operate the Array, and provide maintenance services designed to help maintain the Array in good working condition. Such maintenance services shall be performed by qualified personnel in accordance with industry standards. During an emergency, or to protect the safety of personnel or the operation of the Array or Avista’s system, and at periodic intervals for improvements, maintenance and repairs, or for training purposes, the Solar Output of the Selected Solar Panels may be interrupted. In addition, the Solar Output may be impacted by equipment downtime. You acknowledge and agree that no compensation is due you for any interruptions or variations in Solar Output for these specific reasons and any other unforeseen reasons.
Operations and Maintenance Services. ELPOLP shall procure and furnish all materials, equipment, services, supplies, and labor necessary for the operation and maintenance of the Facility, including, but not limited to, the following:
(1) Communications, corrosion control, monitoring, and measurement;
(2) Periodic testing, adjustment, external and internal inspection of the Facility, and such maintenance, reconditioning, or overhaul as may be necessary and appropriate to maintain valves, pipeline, orifice, displacement and other meters, and such other facility as may be required to operate and maintain the Facility;
(3) Cathodic protection of the Facility for the control of corrosion and subsequent monitoring as necessary;
(4) Equipment and facility repair, overhaul, and replacement, as necessary;
(5) Administrative and supervisory services;
(6) Pay and discharge all costs and expenses incurred in connection with the operation and maintenance of the Facility pursuant to this Agreement;
(7) Protect all interests in real estate covering the Facility, including, without limitation, rights-of-way, easements, leaseholds, permits, licenses, fee lands and any other real estate interests associated with the Facility; comply with all the terms and conditions of the rights-of-way documents; refer all rights-of-way landowner matters to ▇▇▇▇▇▇ when received; notify ▇▇▇▇▇▇ of all encroachments upon the rights-of-way as soon as reasonably practical after ELPOLP discovers such encroachments, and cooperate fully with ▇▇▇▇▇▇ in the resolution of all such matters; ▇▇▇▇▇▇ shall timely provide ELPOLP notice of all correspondence, communications, or other information it receives related to and any changes regarding ▇▇▇▇▇▇'▇ interest in the rights-of-way;
(8) Provide all consumable supplies and materials necessary for the operation and maintenance of the Facility;
(9) Provide technical services as required for maintenance of the Facility;
(10) Maintain logs and regulatory records relating to the operation and maintenance of the Facility including, without limitation, Department of Transportation records required under the Hazardous Liquids Pipeline Safety Act and regulations promulgated thereunder;
(11) Notify ▇▇▇▇▇▇, as expeditiously as possibly, of all incidents relating to the Facility which are reportable under the laws or regulations of the Railroad Commission of Texas, Department of Transportation, or other governmental agency with jurisdiction;

Operations and Maintenance Services. During the Term, we will be responsible for operation and maintenance of the Array, as set forth in the Program Policies.
