AUTHORITY AND SIGNATURES Clause Samples

The 'Authority and Signatures' clause establishes who within each party has the legal power to enter into and execute the agreement. It typically requires that the individuals signing the contract are duly authorized representatives, such as company officers or designated agents, and may specify the need for signatures to be dated or witnessed. This clause ensures that the contract is legally binding by confirming that all signatories have the proper authority, thereby preventing disputes over the validity of the agreement due to unauthorized execution.
AUTHORITY AND SIGNATURES. The undersigned officials are properly authorized to execute this Agreement on behalf of the parties, and each party certifies to the others that any necessary resolutions extending such authority have been duly passed and are now in full force and effect.
