Training and Consulting. Sagent shall grant to Distributor rights to provide Sagent training courses with Distributor's own personnel to End Users; and Distributor shall have the right to provide Distributor's Sagent trained consultants to assist customers with use of the Software Products. Such training and consulting shall meet Sagent's quality standards. Distributor shall pay the reasonable travel and living expenses for any Sagent consultants or agents brought from the US to the Territory. For extended visits, over two weeks, Sagent will invoice Distributor for a daily rate approximating the compensation and benefits of the Sagent consultant or agent for the period involved.

Training and Consulting. During the first six months of this Agreement, the Client may submit technical questions and requests for training regarding the use of the Software. GemCloud shall provide training and consulting to answer such questions without charge to the Client up to a maximum of three (2) hours in the first month and one (1) hour per month

Training and Consulting. (a) Diversinet will arrange for the initial personal technical and sales instruction of up to three (3) Reseller personnel for up to five (5) days in learning the functions, installation, integration, operation and maintenance of the Products. Such instruction shall take place in Diversinet’s corporate headquarters and expenses of the Reseller personnel incurred for attending such initial instruction shall be paid by Reseller. There will be no charge for this initial training. Thereafter, Diversinet will make available to Reseller standard Product training courses generally offered by Diversinet at the list price. (a) Upon Reseller’s request, Diversinet will provide Reseller with pre-sales consulting and post-sales consulting at the Diversinet’s standard rates. Post-sales consulting will be provided under a separate services agreement to be entered into by the Parties, which shall include specific statement(s) of work. (b) Statements of Work (“SOW”). Fees for any future development services shall be as agreed to by the Parties in an SOW. Reimbursable expenses agreed to by Reseller shall be paid by Reseller within thirty (30) days of Diversinet’s documented invoice. Diversinet shall offer to perform such work at Diversinet’s then standard daily rate (currently at $1,500 per day). Reseller hereby agrees and acknowledges that Diversinet shall own all code, documentation and modifications to the code or documentation, and all copyrights, trade secrets and other intellectual property rights with respect to any such code or documentation. Diversinet hereby agrees and acknowledges that Reseller owns any and all intellectual property rights with respect to any Reseller-specific private label associated with the software. 1. Support (a) Services. Diversinet may provide, upon written agreement between the parties, the server hardware, physical environment, including physical security, HVAC and power for the server hardware, all as required to provide the Products as described in Schedule 2. Diversinet may also provide internet connectivity, by being responsible for network operation and availability from the public Internet up to the termination cables at the network interface card on the server hardware. Training and Consulting. PeopleGuru Cannabiz, LLC agrees to provide technical training and consulting services in the use of the Service. Training and consulting shall be provided by PeopleGuru Cannabiz, LLC at such times as Customer may reasonably request, and Customer shall pay to PeopleGuru Cannabiz, LLC the fees set forth in an applicable Order Form or Statement of Work for such training and consulting services. If said additional training is at Customer’s offices, Customer will reimburse PeopleGuru Cannabiz, LLC for reasonable travel, lodging, meals and related expenses incurred in providing such training and consulting. Upon Customer’s written request, PeopleGuru Cannabiz, LLC will submit supporting expense documentation to Customer for expenses exceeding $50. PeopleGuru Cannabiz, LLC will provide implementation assistance, modifications, and enhancements to the Service requested by Customer and agreed to by the parties in a fully executed Statement of Work except when such assistance is less than $1,000, in which event the parties shall deem authorization via email acceptable.

Training and Consulting. At Your request, We, directly or through a third party supplier, will provide training and consulting services related to the Software at Our then-current rates, which as of the date of this Agreement are as set forth in Schedule A. You will reimburse Us for all reasonable lodging and travel expenses incurred in connection with providing training and consulting services in connection with this Agreement, as well as for classroom guides and training materials used by Us in providing training services, including shipping costs for such materials, and out-of-pocket expenses associated with the provision of such services. All expenses will conform to Your expense policy as presented in Schedule C. Travel includes the cost of flights, car rental (including gas), parking, train fares, taxi fares and other forms of transportation to Your location. Accommodations include the cost of hotels and related hotel charges which comply with Your reimbursement policies. In lieu of individual food and sundry costs, We will charge a US $75 per diem per person for each night that Our resource stays overnight at Your location outside of a travel day. A US $57 per diem per person will be charged for the first and last day of travel.

Training and Consulting. If requested, Provider will provide installation, training, or consulting services related to the Software pursuant to the terms and conditions of a separately executed services agreement. 9. As part of the training classes offered to Intel by Synchronicity, further specified in Addendum C ("Training Classes"), Synchronicity shall offer to Intel a course titled "Train-the-Trainer" which shall include an extra day of training to describe class setup, training techniques, and additional technical information. The Train-the-Trainer class includes PDF files for training manuals and Updates thereof at no additional cost to Intel. Training Classes may also be Intel Confidential customized by Intel for an additional cost.
