Management Mechanism. 5.1. A joint sectoral group will be established for the purposes of management of this Sectoral Annex. Its role will be to make decisions concerning the definition, establishment, and evaluation of conformity assessment procedures and programmes, the establishment of the ‘two-way’ alert programme, the management of the confidence building period and the definition of a maintenance programme supporting the continued operation of the MRA. Management Mechanism. 5.1 Party A determines the access of Party B and its service through methods such as evaluation. Management Mechanism. 5.1 Party A shall approve Party B and its business market entry through assessments and other methods. Basic market entry conditions are as follows: 5.1.1 Party B has duly obtained legitimate certificates to provide Mobile Value-added Services, which include Business License for Incorporated Enterprise, Telecom Value-added Services Operation License for corresponding region, and other qualification certificate that meets the requirements of the Administrative Measures for Telecommunications Business Operating License (2002), or the Telecom License Measures implemented by the Ministry of Information Industry (“MII”). 5.1.2 Party B has favorable capabilities in terms of scale of company, content, technical resources, marketing channel, operational experience and etc. 5.1.3 Party B has Telecommunication operation and maintenance abilities, and meet the various requirements including host machine conditions, maintenance organization, security mechanism, daily maintenance, connection method, and other key requirements in Operation, Maintenance and Management Requirements of China Unicom VAS as follows: 1. Operation and maintenance management: conditions of host machine, maintenance organization, and position set up, security mechanism, malfunction and alteration mechanism of system database, daily maintenance mechanism should meet the relevant requirements. 2. connection method: Specific line, and Virtual Private Network (VPN) connection method; 3. Key performance requirements: successful connection rate between Uni-info gateway and SP, revert time of WAP services, successful WAP site-visits rate, equipments capable of operating 7 X 24 hours, and etc. should meet the relevant requirements.

(3) During the cooperation period, Party B shall implement a full employment position appointment system for all faculty and staff with public school status under the name of the public school. On the basis that the original salary, benefits, performance rewards, and other financial allocation standards and supply channels for public school faculty and staff remain unchanged, Party A and local finance shall support and allow Party B and the cooperating school to implement performance-based incentives for all faculty and staff in accordance with the provisions of the Vocational Education Law.   • Adjustment Mechanism If an adjustment of the Exercise Price is required pursuant to this Section 6 (other than pursuant to Section 6.4), the Holder shall be entitled to purchase such number of shares of Common Stock as will cause (i) (x) the total number of shares of Common Stock Holder is entitled to purchase pursuant to this Warrant following such adjustment, multiplied by (y) the adjusted Exercise Price per share, to equal the result of (ii) (x) the dollar amount of the total number of shares of Common Stock Holder is entitled to purchase before adjustment, multiplied by (y) the total Exercise Price before adjustment.

  • Purchase Mechanism If the Focus Investor exercises its rights provided in this Section 4.5, the closing of the purchase of the New Securities with respect to which such right has been exercised shall take place within 30 calendar days after the giving of notice of such exercise, which period of time shall be extended for a maximum of 180 days in order to comply with applicable laws and regulations (including receipt of any applicable regulatory or corporate approvals). The Company and the Focus Investor agree to use commercially reasonable efforts to secure any regulatory or corporate approvals or other consents, and to comply with any law or regulation necessary in connection with the offer, sale and purchase of, such New Securities.

  • Cashless Settlement Mechanism Notwithstanding anything to the contrary in this Agreement, any Lender may exchange, continue or rollover all or the portion of its Loans in connection with any refinancing, extension, loan modification or similar transaction permitted by the terms of this Agreement, pursuant to a cashless settlement mechanism approved by the Borrower, the Administrative Agent and such Lender.

  • Consultative Mechanism The parties agree that a precondition for the effective operation of the Agreement is the establishment of consultative mechanisms with the Company. To this end, a Consultative Committee, comprising of Company appointed representatives and employee elected representatives should be established and maintained. Officers of the Union shall have a standing invitation to attend any such meeting. The purpose of the Consultative Committee shall be to consult, develop, recommend and assist to implement strategies and measures designed to achieve the objectives outlined under Clause 4 of this Agreement.

  • Payment Mechanics All payments of principal and interest hereunder are to be made in lawful money of the United States of America in the manner specified in Article III of the Purchase and Sale Agreement.
