Task Work Orders. Task Work Order Contracts may be issued at any time during the Initial Contract Term and any Renewal Contract Term. A Task Work Order Contract will authorize the Contractor to perform the Work for a lump sum amount at the marked up hourly rates agreed to and set forth in the Fee Schedule. The maximum fee allowed by law for any individual Task Work Order Contract, which includes all fees and reimbursable expenses and contingencies, shall not exceed the total set in Section 4-102 (2) A. of the APS Procurement Resolution, as amended or the Virginia Public Procurement Act. Provided, however, the Contractor shall not commence work under any Task Work Order Contract until a Purchase Order from the Procurement Agent or designee has been received. It is understood that more than one Task Work Order Contract may, at the Owner's sole discretion, be offered to the Contractor during the Initial Contract Term and any Renewal Contract Terms. Although the potential exists for multiple Task Work Order Contracts being offered to the Contractor during the Initial Contract Term and Renewal Contract Terms, the maximum fees allowed by law for the aggregate of all individual Task Work Order Contracts, which includes all fees and reimbursable expenses and contingencies, shall not exceed the total set in Section 4-102 (2) A. of the APS Procurement Resolution, as amended or the Virginia Public Procurement Act. APS does not represent or guarantee that the Contractor will receive any Task Work Order Contracts.
Task Work Orders. All projects conducted under this Agreement will be defined by written Task Work Orders as outlined in Task Work Order Plans as described below. The Contractor will not be compensated for time spent in the preparation of Task Work Order Plans. The following steps will be followed for all Task Work Orders: (a) For Task Work Orders that are greater than $250,000, NYSERDA's Project Manager will prepare a Task Work Order Request outlining a specific project within the scope of this Statement of Work and issue the Task Work Order Request by mini-bid to all eligible contractors in the categories defined under Section 2 above. Contractors may be asked to assist in describing the elements of the project, but final determination of the parameters of the project is at ▇▇▇▇▇▇▇'s discretion. (b) In those instances where the total budget for the Task Work Order will be $250,000 or less, the NYSERDA Project Manager has the option, but not the obligation, to issue a Task Work Order Request only to the top ranked contractor as determined in the RFQL 5856 review process. The Contractor is the top ranked contractor under Category above. If the top ranked contractor is unavailable, or the response is unsatisfactory and if the Project Manager is unable to modify the proposal to make it acceptable, the Project Manager has the option to reissue the Task Work Order Request to all contractors approved under a category above. For Task Work Orders that are greater than $250,000, the Project Manager will always issue a mini-bid as described above. (c) The request prepared by NYSERDA will outline the services and work products to be provided and the time frame, if known, within which the project must be completed. NYSERDA’s project request will include the date by which the Contractors shall respond to the request. (d) In response to ▇▇▇▇▇▇▇'s request, the Contractor shall prepare a written statement declining to submit a Task Work Order Plan for the work or agreeing to perform the project outlined in the Task Work Order Request. Acceptance of the project should be accompanied by a proposed Task Work Order Plan, which shall include the following, as appropriate: • The goals and objectives of the project. • The approach that will be taken and the tasks that must be accomplished to achieve the goals and objectives of the project. • Project deliverables, services, and work products associated with the project. • Project time frame and reporting and reimbursement schedule. • The names an...
Task Work Orders. For each assigned initiative, a Task Work Order Template will be developed by the Contractor. A NYSERDA point person will be designated to manage the initiative specific training and work performed under the Task Work Order. Initiative details and specific standard operating procedures will be provided to the Contractor during Task Work Order development. For each Task Work Order, the Contractor is expected to: • Develop an approach and budget for review and approval by NYSERDA according to the task(s) assigned. • Negotiate the scope and cost of the support service. • Upon agreement by both NYSERDA and the Contractor, provide the required assistance within the agreed upon time frames. • Submit required deliverables to NYSERDA for review and approval. • Provide required documentation of expenditures by task based on the approved Task Work Order when seeking payment from NYSERDA. The Task Work Order must assure that appropriate staff and resources will be available for the services requested as well as general day to day support of the initiative assigned. If NYSERDA determines that the parties will be unable to reach agreement on the terms of the Task Work Order, NYSERDA may rescind the Task Work Order at its sole discretion. When NYSERDA finds the terms of the proposed Task Work Order acceptable and has issued a Notice to Proceed on a Task Work Order, the Contractor shall carry out the work pursuant to the requirements of such Task Work Order. The work set forth in the Task Work Order shall, upon its issuance by NYSERDA, constitute Work to be performed by the Contractor under this Agreement. Task Work Orders may be issued at any time during the Project Period. The Contractor may submit an invoice for costs when the corresponding Notice to Proceed has been issued by NYSERDA. Should a Notice to Proceed not be issued for a certain Task Work Order, NYSERDA is under no obligation to reimburse the Contractor for any costs or expenses associated with that Task Work Order. If NYSERDA finds that a Task Work Order must be modified, NYSERDA may issue a Task Work Order modification request. The Contractor shall then prepare a modification to the Task Work Order. If the Contractor’s modified Task Work Order is acceptable to NYSERDA, then NYSERDA may issue a Task Work Order Modification. Task Work Orders. The DEPARTMENT will provide, before the initiation of any work on any of the tasks defined in this exhibit, a specific Task Work Order defining the work to be accomplished and the total reimbursement due the CONSULTANT.

Payment will be made not more than monthly and will be based on the percentage complete, as determined solely by the Department, of each task for each billing period, with the exception of direct charges. The Professional shall obtain the prior approval of the Department before use of tools and equipment under these circumstances. E. The Professional shall provide to the Department, upon the Department’s request, receipts, invoices, or other documents to substantiate all direct charges. Failure of the Professional to provide satisfactory documentation may result in, at the Department’s sole discretion, the withholding of reimbursement for any disputed charges.

Task Work Orders. The Department shall compensate the Professional for Work Orders that include only studies, investigations, report preparation, facility review, engineering analysis, pre-design services and other tasks outside of the standard design phase services, or design of specific project components or systems, or other projects as deemed appropriate by the Department, on an hourly basis for the appropriate classifications at the rates set forth in this agreement and shall treat them as Task Work Orders. The Work Order will be broken down into tasks that include all required work to complete the scope of work. An estimate of all direct charges will be included as a separate task in each Work Order.

Notwithstanding any other provision in this Agreement, the Contractor will adhere to the following for all Task Work Orders: • Develop and work with NY Green Bank to refine Task Work Order Statement of Work, proceeding only once NY Green Bank has provided written approval; • Prepare and work with NY Green Bank to refine Budget, proceeding only once NY Green Bank has provided written approval; • Upon agreement by all parties to the Task Work Order Statement of Work and Budget, provide the required assistance within the agreed upon time frame; • Make appropriate staff and equipment resources available to complete the Task Work Order Statement of Work on approved Budget; • Provide periodic status updates to NY Green Bank, as requested; • Notify NY Green Bank of delays or anticipated cost overruns as soon as either are identified; • Submit Deliverables to NY Green Bank for review and approval; • Prepare and submit invoices (pursuant to Section 4.02) to NY Green Bank for review and approval; • All NY Green Bank established policies and procedures; and • Acknowledge that NY Green Bank reserves the right to modify any component of an approved Task Work Order at any time.
